1. Company identification

The present terms and conditions of sale (the "Terms and Conditions") are those of PEOPEO, a simplified joint stock company whose registered office is located at 19 Chemin des Prés - 38240 Meylan - FRANCE, registered in the Grenoble Trade and Companies Register under number 828 994 244, telephone number: 07 67 20 22 79, email: contact@peopeo.io

2. General

The General Terms and Conditions of Sale are applicable to sales transactions carried out on the online store of the www.peopeo.io website (the "Site") or following validation of a quotation proposed by the PEOPEO sales department to end consumers, to the exclusion of any other conditions that may govern other distribution channels for PEOPEO products, in particular those in force in physical points of sale.

The General Terms and Conditions of Sale applicable to the sale are those in force on the date the order is placed.
The customer is advised to read these conditions carefully before placing an order. These conditions inform the customer who PEOPEO is, how PEOPEO supplies products to the customer, how orders can be modified, retracted and cancelled, what to do in the event of a dispute and other essential information.

If the customer feels that there is an error in these conditions, or that he does not understand certain clauses, we invite him to contact PEOPEO to let us know his observations.

PEOPEO reserves the right to modify the General Terms and Conditions of Sale at any time, the new General Terms and Conditions of Sale applying to any offer or order made after their publication on the Site.
The current General Terms and Conditions of Sale are accessible at all times on the Site.

The current General Terms and Conditions of Sale are available on the Site at all times. The Site is available in French only.

3.1. ON THE ONLINE STORE

3.1.1 PRODUCT SELECTION

All orders on PEOPEO's online store are placed exclusively on the Site.
Customers add products to their selection by clicking on the "Add to Cart" button and continue browsing by clicking on "Continue Shopping".

The customer may, at any time, view the products selected in his basket by clicking on "Basket" and take note of the costs and delivery times as well as the payment options proposed by PEOPEO.

3.1.2. PRODUCT AVAILABILITY

Product offers and prices are valid as long as they are visible on the Site, while stocks last.
Errors or modifications may exceptionally occur. In the event of unavailability of one of the products after the order has been placed, the customer will be informed by e-mail (or by post if no e-mail address has been provided) of the unavailability of the product(s) and of the delivery of a partial order or the cancellation of the order.

In the event of total or partial cancellation of the order due to unavailability, the customer's bank account will not be debited for the sums corresponding to the unavailable products. If the debit has already been made, the customer will be reimbursed for the sums paid for the unavailable products in four (4) equal payments in four (4) consecutive months from the date of notification of the payment error.

3.1.3. VISUALIZATION AND CHOICE OF ORDER MODALITIES

After selecting the product(s), the customer checks the details of his order and the price to be paid, and can modify his order or correct any errors before confirming the order.
The customer fills in all the information required for delivery of the order and chooses the payment method.
Customers are advised to read PEOPEO's user data protection policy at the same time.

The customer is then invited to click on the "Pay by.../Order" button and enter the necessary information.

3.1.4. FINAL VALIDATION OF THE ORDER

At the end of the ordering process, the customer must accept the "General Terms and Conditions of Sale" and definitively validate his/her order by clicking on the "Pay by.../Order" button or, on the contrary, cancel his/her order by clicking on "Shopping Cart" and modifying the contents of his/her shopping cart. After final validation of the customer's order, PEOPEO sends an acceptance of the order to the e-mail address indicated by the customer, and an invoice is available on the customer account specified below. The sales contract is then definitively formed.

If the customer has a customer account, the invoice is also available on his personal space accessible with the identifiers given when the account was created.
Any modification of the order by the customer after a possible modification of PEOPEO's prices will lead to the automatic application of the new prices.

PEOPEO reserves the right to refuse any order. In this case, an e-mail will be sent to the customer using the e-mail address communicated by the customer instead of sending an order acceptance.

3.2. VIA QUOTE REQUEST

3.2.1. PRODUCT SELECTION, QUOTATIONS AND PRICES

All orders can be placed by quotation through the PEOPEO sales department. The customer chooses the product(s) he wishes by referring to the page on the Site.

The customer can view the products selected in the quote and take note of the costs and delivery times as well as the payment options offered by PEOPEO. All prices indicated on quotations are indexed to the current prices available on the Site.

3.2.2. PRODUCT AVAILABILITY

Product offers are valid as long as they are visible on the Site, while stocks last.
Errors or modifications may exceptionally occur. In the event of unavailability of one of the products after the order has been placed, the customer will be informed by e-mail (or by post if no e-mail address has been provided) of the unavailability of the product(s) and of the delivery of a partial order or the cancellation of the order.

At the end of the order process, the customer must definitively validate the order by signing the quotation or by sending a validation e-mail to the sales representative, together with the current quotation. Alternatively, the customer may cancel the order by invalidating the current quotation with the sales representative. After final validation of the customer's order, PEOPEO sends the invoice. The sales contract is then definitively formed.

Any modification of the order by the customer after a possible modification of PEOPEO's prices will not lead to the application of the new prices.

PEOPEO reserves the right to refuse any order. In this case, an e-mail will be sent to the customer using the e-mail address communicated by the customer instead of sending an order acceptance.

4. Right of withdrawal

4.1. Right and period of withdrawal

The customer has a statutory period of fourteen (14) days in which to withdraw from the contract, without having to justify his decision on any grounds whatsoever, from the date of receipt by the customer of the product ordered from the Site.

In keeping with its desire to fully satisfy its customers and to allow them the necessary time to test its products, PEOPEO has decided to extend this withdrawal period to thirty (30) days from receipt of the product(s), without the customer having to justify any reason, or pay any fees or costs other than those provided for in these terms and conditions.

PEOPEO's right to claim damages in the event of prejudice suffered by the latter is not limited by the present clause. If the order consists of several products delivered separately, the withdrawal period for all the products concerned by this order runs from the date of receipt of the last product.

The right of withdrawal may be exercised in respect of all or part of the products concerned by the order.

4.2 Conditions for exercising the right of withdrawal

To exercise his right of withdrawal, the customer must notify PEOPEO of his intention to withdraw before the expiry of the thirty (30) day period. To do so, the customer may use the following methods:
Send an unambiguous statement clearly expressing his/her intention to withdraw and containing the number of the withdrawn order (communicated at the time of validation of the order and present on the notification of acceptance of the order and the related invoice), by post to the following address: PEOPEO, 19 Chemin des Prés - 38240 Meylan - France. 5. Returns and refunds

The customer has a period of fourteen (14) days from notification by e-mail to shop@peopeo.io of his intention to withdraw to return the product(s), at his expense and under his responsibility, by post to the following address: PEOPEO, 19 Chemin des Prés - 38240 Meylan - FRANCE.

PEOPEO cannot be held responsible and will not reimburse in the event of loss or theft of the package containing the product(s) to be returned. The customer is strongly advised to choose a shipment with tracking and insurance against loss and theft. The cost of delivery of the product(s) to be returned is borne by the customer.

To be eligible for a refund, the product(s) must be returned in a condition and packaging that can reasonably be expected. The original packaging is highly recommended, perfect working order is mandatory and the appearance of the product(s) must be perfect. Failure to do so will result in a deduction from the refund if repair costs are incurred, or cancellation of the refund if repair is impossible. The product(s) must be accompanied by the purchase invoice or a copy of the invoice and the customer's bank details. In the case of partial returns, the price of the missing items will be deducted from the refund.

Once the return has been received and examined, PEOPEO will confirm (or not) its acceptance and the refund to the customer will be made in four (4) equal payments in four (4) consecutive months from the date of acceptance. The acceptance procedure will be completed within fifteen (15) working days.
The customer should note, however, that depending on his bank, the actual transfer to his account may take a few days.

6. Awards

Product offers are valid as long as they are visible on the Site, while stocks last.
The customer is invoiced according to the prices and in the currency indicated on the Site or the price list certified to date and agreed in the sales contract. Unless otherwise indicated in writing by PEOPEO at the time of final validation of the order, prices are inclusive of taxes and standard packaging costs, plus delivery costs, PEOPEO reserving the right to choose the means of transport. Payment can only be made by one of the methods of payment proposed on the Site in the case of an online purchase, or on the invoice in the case of a purchase via a quotation request.

No product will be dispatched once the payment method proposed on the invoice has been applied.
When a purchase is made on the Site, no product is dispatched before full payment of the price, including postage (with the exception of payment by credit card in 4 instalments without charge).

When a purchase is made via quote request, payment is made only by one of the payment methods shown on the invoice. No product will be dispatched unless the payment method shown on the invoice is used.

7. Deliveries

Products purchased on the Site or by requesting a quote are available for delivery in mainland France, Corsica and Europe. They are delivered to the delivery address indicated at the time of ordering. The customer is responsible for the accuracy of the information provided at the time of ordering. In the event of an error in the recipient's contact details (notably surname, first name, street number and name, post code, town name, telephone number or e-mail address), PEOPEO cannot be held responsible for the impossibility of delivering the order.

Delivery is made by DPD. Shipping costs vary according to the order.
DPD Predict is available for orders to Metropolitan France, Corsica and Europe.
DPD Relay delivery is available for orders to Metropolitan France and Corsica.
DPD Classic is available for orders to Metropolitan France, Corsica and Europe. This mode is reserved for delivery to workplaces; a supplement of 3€ is charged if this mode is used for delivery to a personal address.
In Metropolitan France and Corsica, delivery is handled by DPD within 3 to 4 weeks of order confirmation.

Products purchased on the Site can be collected free of charge directly from the PEOPEO factory.

For all requests from overseas territories (Guadeloupe, French Guiana, Reunion Island, Martinique, Mayotte, New Caledonia, French Polynesia, Saint-Pierre et Miquelon, Saint Barthélemy, Saint Martin, French Southern and Antarctic Lands, Wallis and Futuna), the customer may contact PEOPEO on 07 67 20 22 79 or by e-mail at shop@peopeo.io.

8. Deterioration of the product on delivery

The customer is responsible for checking the condition of the products and their packaging on delivery.
In the event of deterioration of the product, the customer must imperatively :
1. Indicate this on the delivery note presented by the carrier;
2. Send the carrier a registered letter with acknowledgement of receipt, within three (3) days of delivery;
3. Send PEOPEO a copy of said letter and the delivery slip at the same time, to the following address: PEOPEO, 19 Chemin des Prés - 38240 Meylan - FRANCE - shop@peopeo.io.

The customer is requested not to use the product, to inform PEOPEO directly and to send them photos as proof.

If you fail to follow this procedure, PEOPEO will not accept any claim.

9. Payment methods

Payment for goods can be made by online credit card (Visa, Mastercard, American Express), Paypal, bank transfer or cheque made payable to PEOPEO. During the ordering process, the customer chooses the method of payment he/she wishes to use and follows the instructions provided.
Any payment incident will authorize PEOPEO to refuse the order or block delivery.
The order will be dispatched according to the payment method proposed on the invoice and with the usual delivery times indicated in Article 7 of the General Sales Conditions.

10. Processing of Personal Data for secure payment

Payments made by credit card on the Site are made through the secure payment provider Monetico. In order to confirm the transaction, the customer must agree to the transfer and storage of his/her financial data, name, address and any other necessary information to the secure payment provider Monetico.

The processing of certain personal customer data is imperatively required in order to proceed with secure payment. Otherwise, the transaction will be impossible and the order cancelled.
This data is intended for the authorized departments of the service provider taking part in the processing, for the seller, and for any third party whose intervention is necessary to enable payment to be made and the services offered to operate.

11. Retention of title - Transfer of risk

PEOPEO reserves ownership of each product delivered until payment in full of the amount due for said product. The transfer of risks relating to the products occurs when the products are handed over to the consumer.
In the event of non-payment, PEOPEO reserves the right to take action to reclaim each product concerned.

12. Customer warranties

12.1. Legal warranty of conformity and warranty against hidden defects

PEOPEO guarantees the conformity of the products it offers on its Site and any hidden defects that may affect them, and any request made by the customer under the legal guarantee of conformity or the guarantee of hidden defects must be addressed to the following address: PEOPEO, 19 Chemin des Prés - 38240 Meylan - FRANCE.

PEOPEO is liable for defects in conformity of the products sold under the conditions stipulated in Articles L.211-4 et seq. of the French Consumer Code, as well as for hidden defects under the conditions stipulated in Articles 1641 et seq. of the French Civil Code.

For VOODOO Pro and VOODOO+ Pro loudspeakers, the customer has a period of three (3) years from the date of delivery of the product to take action under the legal warranty of conformity for any product with a serial number equal to or greater than #0859.
During this period, the customer benefits from a presumption of non-conformity, in the sense that it is PEOPEO's responsibility to prove the product's conformity, and not the customer's responsibility to prove non-conformity.

The customer may choose between repairing or replacing the product, subject to the cost conditions set out in article L.211-9 of the French Consumer Code.

The legal warranty of conformity applies independently of any commercial warranty.

The customer may decide to invoke the warranty against hidden defects as defined in article 1641 of the French Civil Code. In this case, the customer may choose between rescission of the sale or a reduction in the purchase price in accordance with article 1644 of the French Civil Code.

In the case of VOODOO Boombox and VOODOO+ loudspeakers, the customer has a period of two (2) years from the date of delivery of the product to take action under the legal warranty of conformity. During this period, the customer benefits from a presumption of non-conformity, in the sense that it is PEOPEO's responsibility to prove the product's conformity, and not the customer's responsibility to prove non-conformity.

The customer may choose between repairing or replacing the product, subject to the cost conditions set out in article L.211-9 of the French Consumer Code.

The legal warranty of conformity applies independently of any commercial warranty.

The customer may decide to invoke the warranty against hidden defects as defined in article 1641 of the French Civil Code. In this case, the customer may choose between rescission of the sale or a reduction in the purchase price in accordance with article 1644 of the French Civil Code.

12.2 Commercial warranty

The product(s) are covered by a limited warranty. The warranty is valid only for PEOPEO loudspeakers.
Contents of the commercial warranty: PEOPEO guarantees the customer's loudspeaker(s) free of charge against any failure resulting from a manufacturer's manufacturing defect according to the following procedure:
- Return of the product at PEOPEO's expense
- In-house assessment of the reported fault
1- failure under warranty: repair and return of the product at PEOPEO's expense
2- failure under warranty (refer to warranty exclusions): - quotation presented to customer (round-trip freight + repair cost)
2.1- validation of quotation by customer
2.2- repair and return of product to customer.

Exclusion of warranty: PEOPEO's commercial warranty does not cover damage to products resulting from normal wear and tear, incorrect handling, inappropriate use, poor maintenance, accidental breakage or failure to follow instructions for use. Any unauthorized intervention on the product(s), disassembly, modification, customization or repair carried out by anyone other than PEOPEO experts will void the commercial warranty.

Duration of commercial warranty for VOODO Pro and VOODOO+ Pro loudspeakers: The warranty is valid only on PEOPEO loudspeakers for a period of three (3) years from the date of delivery for any product with a serial number equal to or greater than #0859. For products with a serial number lower than #0859, the warranty period is two (2) years.

Warranty period for VOODOO Boombox and VOODOO+ loudspeakers: the warranty is valid only on PEOPEO loudspeakers for a period of two (2) years from the date of delivery.

The customer must expressly contact PEOPEO's customer service department by e-mail shop@peopeo.io or by telephone +33(0)7 67 20 22 79. Before providing warranty service, PEOPEO may request proof of purchase, including a receipt or invoice. The commercial warranty will not apply if the serial number has been removed from the product.

13. Responsibility of PEOPEO

13.1 Compliance of products with applicable law

The products offered comply with current French legislation and the standards applicable in France.
The products comply with the essential criteria and other provisions of applicable European directives.

13.2 Scope of PEOPEO's liability

In principle, PEOPEO is not liable for any damages.
However, this does not apply in the following cases:
a. damage resulting from the violation of an essential obligation under the contract. In particular, such an obligation is one on which the proper and correct performance of the contract depends and on whose performance the other party relies, e.g. the delivery of a product free of defects. In such a case, PEOPEO's liability shall be limited to compensation for foreseeable and typical loss or damage;
b. loss resulting from a breach by PEOPEO of its warranty obligations;
c. damage resulting from intentional fault or gross negligence on the part of PEOPEO, a legal representative of the latter or one of its employees;
d. damage resulting from the violation of a mandatory legal provision, in particular liability for defective products.

This clause in no way alters the legal burden of proof.

The images and photos illustrating the products on the Site are published for information purposes only. PEOPEO makes every effort to offer a faithful representation of its products on its Site, but cannot guarantee that this representation reflects the actual colors of the products (the colors displayed may vary according to the configuration of your computer screen). The customer's product may therefore differ slightly from the images published on the Site. Similarly, product packaging may differ from that shown in the images and photos published on the Site. The customer is invited to refer to the descriptions of each product for precise characteristics and, for any questions or additional information, to contact PEOPEO on 07 67 20 22 79 or by e-mail at shop@peopeo.io.

PEOPEO is only responsible for the content of web pages published by PEOPEO.

PEOPEO supplies the products for private use only. If the customer uses the products for commercial or resale purposes, PEOPEO shall not be liable to the customer for any loss of profits, loss of sales, business interruption or loss of opportunity.

The total or partial impossibility of using the products for any reason beyond the control of PEOPEO, in particular due to the use of incompatible equipment, does not give rise to any compensation or reimbursement and does not engage the responsibility of PEOPEO.

13.3 Force Majeure

PEOPEO shall not be held liable for non-performance of the contract caused by an unforeseeable, external and irresistible event such as disruption or total or partial strike, in particular of transport and/or communication services, fire, flood, etc. PEOPEO shall not be held liable for non-performance of the contract caused by an unforeseeable, external and irresistible event such as disruption or total or partial strike, in particular of transport and/or communication services, fire, flood, etc.

14. Contract retention

PEOPEO will keep all sales contracts for a period of ten (10) years. Customers may access the contracts they have entered into with PEOPEO by simple request, imperatively accompanied by a copy of an identity document, made by e-mail to shop@peopeo.io or by post to the following address: PEOPEO, 19 Chemin des Prés - 38240 Meylan - France.

15. Links to third-party sites and third-party advertising

The www.peopeo.io site may contain hypertext links redirecting the customer to other sites. PEOPEO is not responsible for the content, operation, services offered or access to these sites.

PEOPEO may authorize other companies to display advertisements on its web pages. These companies may place cookies on Internet users' computers in order to measure the effectiveness of their advertising. Customers may refuse or delete the installation of these cookies at any time by modifying their browser settings. For further information, please consult PEOPEO's Privacy Policy.

The Site is secured by SSL encryption.

18. Applicable law - Jurisdiction

These General Terms and Conditions of Sale, as well as all operations referred to herein and/or related to the sale by PEOPEO of its products to the customer, are governed, interpreted and executed in accordance with French law.

In the event of a dispute with professionals and/or merchants, the courts of the Grenoble Court of Appeal - France shall have sole jurisdiction.

19. Customer feedback

Customers can leave comments in a dedicated space on the Site, visible to all visitors. These comments are subject to moderation and may not be published or may be deleted if they violate the following charter prohibiting:
1. Advertising of any kind, including that of competitors, the sale of articles, canvassing and spam;
2. False, inaccurate or misleading information;
3. Attacks on persons or companies, including PEOPEO and its employees, suppliers, distributors and affiliates;
4. Inappropriate, misleading content or content that misrepresents PEOPEO;
5. Content that threatens, harasses or otherwise violates the rights of others, including content that discloses the privacy or personal information of other users;
6. Content that contains malicious programs, software, files or links.

Miscellaneous

PEOPEO's failure to assert any right under this agreement shall not constitute a waiver of its right to assert such right at a later date or to assert any other rights.

If any provision of these terms and conditions shall be deemed unlawful, invalid or unenforceable, such provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions of these terms and conditions.

PEOPEO may transfer its rights and obligations under these conditions to a third party, provided that it informs the customer in writing (including by e-mail) and ensures that such transfer does not affect the customer's rights under the contract.

The contract is concluded between the customer and PEOPEO. No other person shall have any rights under the contract or be entitled to enforce any of its provisions.
